Terms of Service
These Terms of Service (“Terms”) govern access to and use of websites, applications, and related services operated under the raastey brand (collectively, the “Services”), offered by [Legal entity name] (“raastey,” “we,” “us,” or “our”). By creating an account, clicking acceptance, or using the Services, you (“you” or “Customer”) agree to these Terms and our Privacy Policy. If you do not agree, do not use the Services.
1. Eligibility
You represent that you are at least the age of majority where you live (and at least 18 where required) and have full legal authority to enter these Terms. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization.
2. Changes
We may modify the Services or these Terms. If changes are material, we will provide reasonable notice through the Services or email where appropriate. Continued use after the effective date constitutes acceptance except where prohibited by law.
3. The Services
raastey provides writing and research-oriented productivity tools. Features may change as we improve the product. We may suspend or discontinue portions of the Services with reasonable notice where practicable. We do not guarantee uninterrupted or error-free operation.
4. Accounts & security
You must provide accurate registration information and keep credentials confidential. You are responsible for all activity under your account and must notify us promptly of unauthorized use.
5. Plans & payment
If paid plans exist, fees, billing cycles, taxes, and refunds will be presented at purchase. Failure to pay may result in suspension. Unless stated otherwise, subscriptions renew automatically until canceled through the designated billing channel.
6. Acceptable use
You agree not to misuse the Services. Without limitation, you must not:
- Violate applicable law or third-party rights;
- Upload malware, probe or breach security, or interfere with infrastructure;
- Scrape, automate access, or overload systems beyond reasonable personal use without permission;
- Use the Services to generate or distribute unlawful, infringing, harassing, defamatory, or excessively harmful content;
- Circumvent access controls, quotas, or billing mechanisms;
- Mine cryptocurrency or run unrelated compute-heavy workloads without authorization;
- Misrepresent affiliation with raastey or impersonate others;
- Reverse engineer except to the limited extent permitted by law.
We may investigate violations and suspend or terminate accounts to protect users, the Services, or third parties.
7. Your content & license to raastey
You retain ownership of your manuscripts, notes, and materials (“User Content”). To operate the Services, you grant raastey a worldwide, non-exclusive license to host, process, transmit, display, and create backups of User Content solely as needed to provide, secure, and improve the Services for you, consistent with our Privacy Policy and product functionality you enable.
8. AI-assisted features
If the Services include artificial-intelligence features, outputs may be inaccurate or incomplete. AI outputs are not legal, medical, financial, or professional advice. You remain responsible for your published work and compliance with applicable laws (including copyright and defamation). Do not submit highly sensitive regulated data unless the product explicitly supports it.
9. Our intellectual property
The Services, branding, software, and documentation are owned by raastey or licensors and protected by intellectual property laws. Except for the limited rights expressly granted, these Terms reserve all rights.
10. Third-party services
Integrations or linked services are governed by their own terms. We are not responsible for third-party products.
11. Copyright complaints
If you believe material on the Services infringes copyright, send a notice with required details to legal@raastey.app. We may remove or disable access to allegedly infringing material consistent with applicable law.
12. Confidentiality & beta features
If you access beta or confidential features, you must not disclose non-public information without permission.
13. Suspension & termination
You may stop using the Services at any time. We may suspend or terminate access for breach, risk, legal requirement, or non-payment. Upon termination, your right to access ceases; we may delete User Content after applicable retention periods unless retention is required by law.
14. Disclaimer of warranties
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, raastey DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.
15. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: (A) raastey WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR GOODWILL; AND (B) raastey’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU PAID TO raastey FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM OR (II) USD $50.
Some jurisdictions do not allow certain limitations; in those jurisdictions our liability is limited to the fullest extent permitted.
16. Indemnification
You will defend, indemnify, and hold harmless raastey and its affiliates, officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to your User Content, your use of the Services in violation of these Terms or law, or your violation of third-party rights.
17. Dispute resolution (United States)
For users located in the United States: You and raastey agree that disputes will be resolved by binding arbitration on an individual basis under the rules of the American Arbitration Association (or comparable rules we designate), except that either party may bring an individual action in small claims court. Class actions and class arbitrations are waived. You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing legal@raastey.app with “Arbitration Opt-Out” and your account details.
For users outside the United States: If mandatory consumer protections apply in your country, those protections may prevail over inconsistent provisions above; disputes may be brought in the courts of competent jurisdiction as required by law.
18. Governing law & venue
Subject to Section 17 and mandatory local law, these Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-law principles. Exclusive venue for permitted court proceedings (excluding arbitration) shall lie in the state or federal courts located in [County, State], unless applicable law requires otherwise.
19. Export & sanctions
You may not use the Services if you are barred under export control or sanctions laws or if you are located in a comprehensively embargoed jurisdiction.
20. Electronic communications
You consent to receive communications electronically and agree that notices posted within the Services satisfy legal writing requirements where permitted.
21. Miscellaneous
These Terms constitute the entire agreement regarding the Services and supersede prior understandings on this subject. If any provision is held invalid, the remainder remains in effect. Failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign in connection with a merger or sale. Headings are for convenience only.
